Amy is a senior associate in our corporate and commercial team. She helps clients on a broad range of commercial matters, ranging from strategic transactions to all aspects of daily commercial operations. She is focused on understanding her client’s business and using that knowledge to provide pragmatic, commercial advice.

Amy has experience drafting, negotiating and advising on a wide range of commercial contracts, including services agreements, terms of trade, distribution and manufacturing agreements and franchising agreements.

She also advises clients on consumer law and privacy issues, including compliance with consumer legislation, advertising, sponsorships and promotions.

Amy assists clients on all aspects of acquisitions and divestments from initial advice and legal due diligence to drafting sale and purchase documentation, joint venture and shareholder arrangements and company constitutions.

Amy worked in Australia at a leading international law firm for a number of years before returning to New Zealand and has held a number of extensive in-house secondment roles.

EXPERIENCE

Amy has advised: 

  • the major shareholder of a large Australian manufacturing business on the sale of its interest, from strategic planning through to drafting of transaction document and completion. 
  • a range of clients on compliance obligations under the Fair Trading Act, Consumer Guarantees Act, Unsolicited Electronic Messages Act, Privacy Act and the Gambling Act regarding promotions, (including internet based competitions), marketing, extended warranties, uninvited direct sales, extended warranties and unfair contract terms.
  • a multinational transportation and logistics company in its review of existing transport supply arrangements and new transport supply contracts.
  • on the issue and acquisition of shares in a computing solutions company, including drafting and negotiating a shareholders’ deed, management agreement, new company constitution, share transfers and company and trust resolutions. 
  • an overseas purchaser on its acquisition of a New Zealand based coffee retailer.
  • minority shareholders of a multinational car parking company on all aspects of the sale of their shareholding to an overseas based majority shareholder.
