Fully conversant in all areas of corporate and commercial law, Nick specialises in mergers and acquisitions (acting for vendors and purchasers), advising on business structures, restructuring and corporate turnabouts. He acts for listed companies, local subsidiaries of multi-national companies and significant private companies and individuals.

  

Nick’s expertise includes conducting due diligence enquiries on behalf of purchasers; negotiating and documenting agreements for the sale and purchase of shares, businesses and assets; joint venture agreements (both incorporated and unincorporated) and shareholding agreements.

  

Nick advises listed clients on all aspects of the New Zealand Stock Exchange Listing Rules as well as advising clients on the best forms of business structure for their situation and on Securities Act compliance. This includes the preparation of prospectuses and investment statements (including seeking of exemptions).

  

Nick also advises clients on the Takeovers Code and ensuring compliance, obtaining exemptions from the Takeovers Panel. Nick has been intimately involved with the Oyster Bay takeover battle; New Zealand’s most contentious contested takeover under the code.

  

Nick acts for local subsidiaries of multi-national pharmaceutical companies regarding various legal issues in New Zealand, including negotiating supplier agreements with Pharmac (New Zealand’s drug funding agency).

        

Nick also advises on franchise arrangements (including negotiating and documenting master franchise agreements and franchise agreements for use throughout New Zealand), fisheries law and maritime law issues including the charter of fishing vessels both in New Zealand and outside New Zealand.
