Gerald has four principal and
overlapping areas of practice:
Debt financing in the bank and
wholesale debt markets; equity raising through initial public offers
and private equity firms; advising public issuers on their corporate
governance, public disclosure and listing obligations; and advising
in relation to acquisitions and disposals by private equity firms.
He has led numerous debt financing
projects on behalf of New Zealand
banks and corporate borrower, in a wide range of business sectors,
including energy, shipping, minerals, construction, media, finance
and primary production. His team handles everything from
straight forward bi‑lateral and syndicated lending, to public
bond offers and securitisations.
Gerald’s experience in equity
raising is similarly broad with retail, bio‑tech, property,
investment and technology companies represented amongst his client
base.
He is regularly asked to advise
local and international clients on issues arising from foreign
investment in New Zealand
under the Overseas Investment Act (especially purchases of sensitive
land).
Gerald’s work of a pro‑bono
nature includes serving as a trustee of the Lake Taupo Protection
Trust, a central and local government initiative to protect the water
quality of Lake
Taupo
through reductions in nitrogen leeching and the purchase of nitrogen
allowances.
